I’m who you will meet with, talk on the phone with, and receive emails from. I’m the one who will work with you to plan and complete your contract or business transaction from start-to-finish. I’m the one who will actually draft your legal documents and research any issues.
I have looked at lawyers from your perspective before, having spent 6 years as a co-founder and CFO of a private, Indiana-based water and wastewater project development company that was acquired by a large, publicly-held water utility. I like to think that perspective helps me in helping you. I was an accountant by original academic training (passed the CPA Exam in 1978).
I’ll try to put myself in your shoes to best figure out how to help you with:
I will meet with you in person to walk through the entire formation process, including tax advice. I’ll ask questions and answer yours to make sure we customize the start-up process to fit your circumstances and to make sure you understand what’s going on. We’ll talk about the new “pass-thru” 20% deduction under the recent tax reform bill. For a listing of the comprehensive Business Formation services I provide for a fixed $500 fee, please click here.
I have handled sales and acquisitions for buyers and sellers ranging from $200,000 to $16,000,000 in purchase price. See Representative Transactions for descriptions of recent deals I have done. From selecting and negotiating the services of a business broker all the way through to the purchase price being wired at a closing, I’ll help you, where needed, to manage the process and people, negotiate business terms, perform due diligence, tax plan, and prepare all agreements and documentation.
I will meet with you in person (no charge for our first meeting). For more details about the process of buying and selling a business and how I would approach helping you (and options for fee arrangements), please click here.
As a special service for a fixed $750 fee, I will meet with you and advise you as to all aspects of selecting a business broker/investment banker who best fits your needs and continue to help you negotiate a fair contract for those services. Oftentimes these contracts are signed without the help of an attorney. Please click here to see what you’re missing if you go that route (you are missing something). Brian Rider, a solo practicing attorney and also a CPA at Rider Kenley & Associates, frequently collaborates with me on this and on other aspects of business sales and acquisitions (Brian and I collaborate as independent professionals, not as partners).
Co-counsel engagements for business sales and acquisitions. If you are a business owner that has a standing relationship with an attorney in a general practice (or if you are an attorney in general practice with a business owner client who wants to sell or buy a business), I can be a special co-counsel who either provides basic help/guidance in support of your regular attorney or, if desired, I can take a primary role (assisted by your regular attorney).
I have been a trusted advisor to business owners across the full spectrum of legal issues they typically confront. Part of my job is to first help you figure out what you need and, second, help you get it done. Sometimes the first part of that job is just as important or as difficult as the second part. I will meet with you in person (no charge for our first meeting) to start that process.

Exit or succession planning is a hot topic these days. Pre-planning the sale of your business (or other exit) does make sense. That’s a case-by-case, business specific, and very personal process. If you’re not careful, the process gets a bit over-blown and becomes crowded with lots of unnecessary complexities. How about a cup of coffee with me and Brian Rider just to talk? Brian is a solo practicing attorney and is also a CPA at Rider Kenley & Associates and frequent collaborator with me on business sales and acquisitions. No charge for this meeting. You’re going to need to ease yourself into this one. Focus on what you want to have in place before you sell or otherwise give up control of your business. Please click here to call me or to set up a coffee. (Brian and I collaborate as independent professionals, not as partners)
Along with Brian Rider (attorney and CPA), I have been the primary attorney for an Indiana-based Christian ministry / not-for-profit organization since its inception in 2015 (and have provided substantial business consulting advice as well). The organization’s mission is to support and spiritually inspire people to overcome obstacles, burdens, and challenges of all kinds that may be holding them back from the joy that life offers.
I will meet with you in person (no charge for our first meeting) to help you figure out what you need. Please click here for a listing of what I have done for this ministry and other not-for-profits (and what I can do for your non-profit aspirations).
